Let's picture it

A first-time reader opens a 300-page annual report, reads thirty glossy pages of photographs and awards, gets tired, and closes it. A trained reader skips to page 180, reads the notes to accounts and the related-party table, and knows more in twenty minutes than the first reader learned in two hours.

The simple explanation

An Indian annual report contains the chairman's letter, management discussion and analysis, the board's report, the corporate governance report, the auditor's report, three financial statements, and extensive notes to accounts.

Read the numbers before the narrative. If you read management's story first, you will unconsciously look for evidence that confirms it.

Download reports only from the company's investor-relations page or the exchange websites, and always read three consecutive years so you can see what changed.

Every listed Indian company files its annual report with the exchanges, where it is freely downloadable. The same document professional analysts use is available to any student at no cost.

Watch out

Common mistakes

  • Reading the glossy section and stopping.
  • Reading only the latest year.
  • Downloading from unofficial third-party sites.

Did you know?

The notes to accounts are usually longer than the financial statements themselves, and that is where most genuine surprises are found.
