Let's picture it

A mechanic inspects a used car and signs it off as roadworthy, 'except for the brakes, which I could not test.' Most buyers hear 'roadworthy' and stop listening. The entire message was in the word 'except'. Audit qualifications work the same way.

The simple explanation

The auditor's report states whether the financial statements present a true and fair view. Most are unmodified, so any modification deserves immediate attention.

Key audit matters are the areas the auditor judged most significant and difficult, revenue recognition, impairment, litigation provisions. It is effectively a professional's map of where the numbers are most uncertain.

Understand the limits. An audit provides reasonable, not absolute, assurance. It tests samples and controls; it is not a guarantee against fraud and says nothing about whether the business is a good one.

When an auditor resigns mid-term or qualifies an opinion at an Indian listed company, exchanges require disclosure and markets react sharply, because the signal concerns the reliability of every other number in the report.
