The simple explanation
MD&A covers industry structure, opportunities and threats, segment performance, outlook, risks and internal control adequacy. It is the most readable part of the report and the most useful for understanding the business.
Its weakness is that it is written by the people being evaluated. Successes get attributed to strategy, failures to the environment. Read it for information, not for judgement.
The highest-value technique in this module: read three consecutive MD&A sections in one sitting. Consistency of language and follow-through on commitments says a great deal about credibility.
Real world
Comparing across years
When a company that used to publish precise capacity utilisation figures stops doing so, the omission is often more informative than anything in the current year's text. Absence of previously given detail is a signal.

Common mistakes

- Missing metrics that quietly stopped being disclosed.
